An Up Coming Event In September


Friends of Torquay Library are pleased to announce a talk by Lorna Smith to be held at Torquay Library on Tuesday 27th September. Please note this is a change from the original date published earlier.

An Up Coming Event in November

In November, Friends of Torquay Library will be showing the acclaimed film by Franco Zeffireli, Tea With Mussolini.

Places are limited so it is important to book in advance. This can be done at Torquay Library any time you are there. Sooner the better.

September to Christmas

At a committee meeting this week the following was decided.

On 22 Sept Lorna Smith, who was one of the Three Ladies who entertained us at the AGM will present a talk on Lorna Doone. The date is to be comfirned in the next week or so. I will email either way.

We are also looking to run a coach trip to Seaton sometime early in October, we are still waiting to hear from the coach company at this time. If interested please let the committee know.

In November there will be a film afternoon, Tea With Mussolini is the suggested film. Date as soon as we know.

December we are planing a Carol session on the 8th.

More details will be sent out as soon as the times and dates have been arranged.

The Torquay Landmarks Cat.


One of 20 cats situated around Torbay. This one is the Torquay Landmarks cat and is presently here in the library in Torquay.

They are part of The English Riviera Cats Trail, a full list of the names and locations of the other cats is available in the library.

An event to be held at the library that may be of interest. This is part of a series of talks on our very varied local history. 

Tea and coffee will be available at this event.

 This is a new venture which I hope members will find easy to use. You can leave a comment after each and any post if you wish.

Meanwhile the next event on our calendar is the Annual General Meeting on Wednesday 27th April at the Library, Lymington Rd, Torquay at 7pm.

There are proposed changes to the Constitution and vacant positions on the Committee so this is an important meeting.

There will be an interesting and entertaining Talk by A Trio of Mature Ladies on, "Fascinating Ladies of Devon," after the business of the evening has concluded. Tea and coffee will also be available.

Annual General Meeting of Friends of Torquay Library

Held at Lymington Road Torquay on Wednesday 29 April 2015 at 7:30 pm

 

Present: Committee Members; Frank Turner, Tina Miruzzi, Jo Gale, Paula Smith, Debi Clarke, Christina Guy, Glenise Phillips, Jenny Murry and 15 members of the public.

 

Minutes of last AGM: approved by Jenny Murry and Alison Underlay as a true record.

 

Matters arising: The appointment of Frank Turner as acting Chairman for the evening was approved by Jenny Miller and Esther Mernick.

 

In his address, the Chairman began by remarking that this was FoTL’s 4th AGM and that members and the public had enjoyed a varied and interesting program during the past year; he thanked the secretary and committee for all their hard work and support. Outstanding events had been the film and cream tea (FoTL having paid for the Film Club’s licence fee) and the coach outing to Sidmouth Folk Festival. These two events had been scheduled again in the program for this year. He emphasised however, that the committee like the membership’s views/ideas on future events and also times of meetings. He continued, a major initiative and commitment in recent months had been a co-operative venture between FoTL and Torquay Rotarians, inspired to fill a gap left by the withdrawal of the Mobile Library Service. Members of the Friends, select books preparing them for collection and dispatch by the Rotarians on a monthly basis to those in the community who value such a service.

Grateful thanks were also expressed to former Chairman, Jack Critchlow, a founder member, who resigned three- quarters of the way through the past year due to family commitments. His influence in promoting the Library and the Friends in the wider community had assisted in supporting the interests of both.

 

Treasurer’s Report

The Chairman then introduced the Treasure, Glenise Phillips, who gave her report, a copy of details of accounts as of 31st March 2015, having been circulated to those present, the balance being £556.41.

 

Membership Report

Debbi Clark, Membership Secretary, informed everyone that membership remained consistent and confirmed this as 55 paid up members to date.

 

Library Manager’s Report

Jo Gale, the Library Manager, then welcomed those present and gave a brief summary of the adverse affects the recession has caused the Library Service. She thanked the Friends for their continued support, subsidizing the Library for extras that were no longer funded by the Local Authority. These included prizes for the Children’s Summer Reading Challenge, Young People’s Poetry and musical instruments and puppets for work with the under 5’s. The volunteer service was again mentioned in conjunction with Torquay Rotarians and the sale of excess stock at the Flea Market, profits to fund the resources top purchase new books. She thanked the Committee for all their hard work but stressed the need for technical assistance and more voluntary help from those present before adding that she looked forward to another year of Library events and activities sponsored By the Friends of Torquay Library.

 

Nomination of Officers    

There were no new nominations, the current Officers and Committee were re-nominated ‘ on-block’ by those attending the meeting.

 

The business of the meeting then concluded with a presentation by Edgar Lawrence, in the uniform of Master Gunner of Berry Head Fort, commemorating the 200th anniversary of the Battle of Waterloo in 1815 and Napoleon’s arrival in Torbay on route to imprisonment on the Isle of St Helena.

Proposed Amendments to The Constitution



The Committee are have been working on several minor amendments to the Constitution. None of these amendments will alter the nature of FoTL, just make the running of the organization easier.

These changes  will be discussed in full at the AGM in April.
 
A hard copy of the original and a hard copy of the constitution containing the amendments will be available to view on the FoTL notice board in the Library.

PROPOSED AMENDMENTS TO THE CONSTITUTION

 

3          Membership

 

a)     All members shall pay an annual subscription which shall be agreed by resolution each year at the Annual General Meeting. The membership year will be from 1st April to 31st March, but those joining between 1st January and 1st March will have their membership extended to 31st March the following year.

4          Committee

 

a)     There will be a managing Committee consisting of a Chairman, Secretary, Treasurer, and up to 4 other members. All officers and Committee members must be members of FoTL.

       i.          A printed notice of every Annual General Meeting and agenda shall be sent to each officer, Committee member and member of FoTL at least 14 days prior to the date fixed for such a meeting.

     ii.          The Annual General Meeting shall take place during the month of April each year. The business of the Annual General Meeting is to receive a report from the Chairman, to receive annual audited accounts, to appoint auditors, to elect officers and members of the Committee, set the level of membership subscriptions for the year, and to consider any proposals which have been notified to the Secretary and appear in the notice of the meeting.

    iii.          Nominations for officers and members of the Committee, together with the names of proposers and seconders, must be supplied in writing to the Secretary before the Annual General Meeting. The consent of the nominees must be obtained prior to submission. In the event of insufficient nominations being received prior to the meeting, nominations may be sought from the floor. If more names are proposed than the number required to fill the vacancies, and sufficient names are not withdrawn at or before the meeting, the election shall be by ballot.

     ii.          The Secretary shall give at least 14 days written notice of such a meeting to every member, specifying the business to be transacted. Only members who are entitled to vote on any matter relating to FoTL business may be present.

6          Finance

 

 

a)     An auditor, or auditors, shall be appointed to audit the accounts each year for presentation to the following Annual General Meeting. An officer or a Committee member may not be appointed as auditor.

Proposed – an end of year financial report will be prepared for the AGM each and scrutinized by a suitable person not connected with FoTL

Constitution Of FoTL


FRIENDS OF TORQUAY LIBRARY: CONSTITUTION

1          Name

 

The organisation shall be called the Friends of Torquay Library, abbreviated to FoTL.

 

2          Purpose

 

To offer practical support for all services provided from Torquay Library by:

 

a)     Promoting the role and value of the library service.

b)     Providing and enhancing local awareness of the services available at Torquay Library.

c)      Assisting the staff in the maintenance and improvement of the library’s services, facilities and amenities.

d)     Being a forum for consultation on library service developments.

e)     Providing a programme of social and cultural activities.

f)      Organising and executing fund-raising and other activities for the benefit of the library.

g)     Co-operating with other groups of Friends within Torbay Libraries

h)     Engaging in other activities which enhance the role of FoTL.

 

3          Membership

 

a)     Membership is open to any individual who is interested in the purpose and activities of FoTL.

b)     Application for membership of FoTL will be made on the appropriate application form and submitted to the Treasurer.

c)      All members shall pay an annual subscription which shall be agreed by resolution each year at the Annual General Meeting. f)      Every member shall have one vote.

g)     The Committee may, by unanimous vote, and for good reason, terminate the membership of any individual. The person concerned shall have the right to be heard by the Committee, and accompanied by a friend, before a final decision is made.

 

4          Committee

 

a)     There will be a managing Committee consisting of a Chairman, Secretary, Treasurer, and up to 4 other members. All officers and Committee members must be members of FoTL.

b)     The officers and other Committee members will be elected at the Annual General Meeting and be eligible for re-election.

c)      A representative of the Head of Torbay Libraries will be an ex officio member of the committee, and will act in an advisory capacity. The representative will normally be the Community Librarian, Torquay.

d)     The Committee will have the power to co-opt up to 3 additional members to serve for the current year.

e)     The Committee shall be responsible for the general management of FoTL and its funds, and may:

       i.          nominate any Committee member to serve on an other body.

 

     ii.          fill casual vacancies on the Committee, with members serving until the next Annual General Meeting

    iii.          appoint such other sub committees from amongst the general membership as may be necessary for the efficient conduct of FoTL business. All decisions taken by a sub-committee shall be subject to ratification by the Committee.

 

f)      The first meeting of the Committee shall be called by the Secretary, and shall normally be no more than one month after the Annual General Meeting. All subsequent meetings of the Committee shall be called by the Secretary in accordance with the resolution of the Committee.

g)     Four members of the Committee shall constitute a quorum.

h)     In the absence of the Chairman, those present may elect a chairman for the duration of the meeting from amongst their number.

i)       The Secretary will be responsible for minuting all meetings of FoTL. A substitute will be appointed by the Chairman where necessary.

 

5          Meetings  

 

a)     Annual and Special General Meetings

       i.          The quorum at all Annual and Special General Meetings shall be 10 members or 10% of the membership – whichever is greater.

     ii.          Unless otherwise provided by these rules, resolutions considered at an Annual or Special General Meeting shall be decided by a simple majority of those present and entitled to vote. In the case of an equality of votes the Chairman shall have a second or casting vote.

 

b)     Annual General Meetings

 

       i.          A printed notice of every Annual General Meeting and agenda shall be sent to each officer, Committee member and member of FoTL at least 14 days prior to the date fixed for such a meeting.

In addition, such a meeting will be called upon receipt of a request to do so in writing signed by at least 10 members. Every such request shall specify the business for which the meeting is to be convened, and no other business shall be transacted at the meeting.

     ii.          The Secretary shall give at least 14 days written notice of such a meeting to every member, specifying the business to be transacted. Only members who are entitled to vote on any matter relating to FoTL business may be present.

 

6          Finance

 

a)     FoTL shall have the power to raise funds by subscription, grants, donations, loans or other means.

b)     The Committee shall have the power to open a bank account on behalf of FoTL. Cheques issued on this account must be signed by any 2 of the following: Chairman; Secretary; Treasurer; Member of the Committee specially nominated by the Committee for that purpose.

c)      An auditor, or auditors, shall be appointed to audit the accounts each year for presentation to the following Annual General Meeting. An officer or a Committee member may not be appointed as auditor.

d)     The financial year of FoTL shall commence on 1 April.

 

7          Constitution

 

a)     Amendments to the Constitution

 

Amendments to the Constitution require the approval of at least two=thirds of the members present and voting at an Annual General Meeting or Special General Meeting of FoTL. Notice of any amendments to the Constitution must be received by the Secretary in writing at least 21 days before the meeting at which the matter is to be resolved. The Secretary must give at least 14 days of such a meeting to members, and must include details of the amendment proposed.

 

b)     Interpretation

Interpretation of the Constitution shall rest with the Committee, which shall also have the power to decide any question not provided for within the Constitution. However, any such decision is subject to the agreement of the Head of Torbay Libraries. Torbay Council shall reserve the right to recommend amendments to the Constitution. Any dispute arising from the Constitution and other matters between FoTL and Torbay Council will be resolved by presenting the facts to the appropriate decision making body within the Council whose decision will be final.

 

8          Data Protection Act

 

Each member of FoTL may be deemed to have given his or her consent, for the purpose of the Data Protection Act, for the inclusion of his or her name, address, and telephone number, and any other relevant information in or on any data processing media or system which, in the absence of consent, might otherwise have to be registered under the provisions of the said Act. Such information will not be disclosed to any outside organisation.  

 

9          Dissolution

 

a)     FoTL shall only be dissolved by a resolution passed by a majority of at least 75% of the members present and voting at a Special General Meeting call for the purpose of considering such a dissolution.

b)     In the event of a dissolution, any assets, including balance of cash remaining in hand after the payment of ant debts, shall not be distributed among the members of FoTL but shall be given Torbay Libraries for the benefit of Torquay Library.
